Terms of Service

1. Agreement to Terms

By accessing or using the services provided by Nexus Digital Guide Studio, you agree to be bound by these Terms of Service. If you do not agree, you must not use our services.

2. About Us

Nexus Digital Guide is independently owned and operated by Ismail El Ayazi. We provide digital CAD design services for dental surgical guides and related implant planning products. You are contracting with Ismail El Ayazi, trading as Nexus Digital Guide Studio. Contact: cases@nexusdigitalguide.com.

3. Product Description

We provide customized digital CAD design files (primarily STL format) tailored to specific patient anatomy based on scans and clinical data you provide. Our service includes surgical guide design, bone reduction guide design, nerve mapping, and related digital implant planning services. Final clinical approval rests solely on the prescribing licensed clinician.

4. Eligibility and Authority

By using our services, you represent that you are a licensed dental professional or authorized representative with the authority to bind your organization. You must be of legal age in your jurisdiction.

5. Account and Credentials

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must provide accurate and complete information, and keep it updated.

6. Acceptable Use

You agree not to misuse the service. Prohibited activities include, but are not limited to:

• Unlawful use, fraud, or spam.
• Infringement of intellectual property rights.
• Security interference, including malware, probing, or scraping.
• Reverse engineering, resale, or redistribution of our digital designs or software outputs.
• Circumvention of technical limits or access controls.

7. Intellectual Property

We retain all ownership rights in our service, software, documentation, branding, and methodologies. Upon full payment, you receive a limited, non-exclusive, non-transferable license to use the delivered digital design files solely for clinical treatment of the specified patient. You may not resell, sublicense, or distribute the files outside your practice without written consent.

8. Payment Terms

Payments are processed securely by PayPal. You may pay using your PayPal account or any major debit / credit card via PayPal's hosted checkout. All amounts are in US Dollars (USD) and inclusive of any applicable processing fees absorbed by Nexus Digital Guide. For payment, dispute, and chargeback mechanics, refer to PayPal's User Agreement.

9. Service Level

We aim to deliver orders within 24–48 hours, subject to case complexity and file completeness. We do not guarantee uninterrupted or error-free performance, and delivery timelines are estimates, not contractual guarantees.

10. User Content

By uploading patient scans and clinical data, you grant us a limited license to host and process that content solely to provide the service. You represent that you have the right to share this data and that it complies with applicable privacy and clinical regulations (including HIPAA and GDPR, where applicable).

11. Warranties and Disclaimers

We disclaim all implied warranties, including merchantability and fitness for a particular purpose, to the fullest extent permitted by law. Our digital designs are advisory and require final clinical validation by the prescribing clinician. We are not responsible for clinical outcomes.

12. Limitation of Liability

To the maximum extent permitted by law, our aggregate liability is limited to the fees paid by you in the six months preceding the claim. We exclude liability for indirect, consequential, or special damages, including loss of profits, data, or goodwill, except where prohibited by law.

13. Indemnity

You agree to indemnify and hold harmless Ismail El Ayazi and Nexus Digital Guide Studio from claims arising out of your use of the service, your content, or your breach of these terms.

14. Suspension and Termination

We may suspend or terminate your access for material breach, non-payment, security or fraud risk, or repeated or serious policy violations. Upon termination, your right to use the service ceases immediately.

15. Governing Law

These Terms are governed by the laws of the jurisdiction in which Ismail El Ayazi operates, without regard to conflict-of-law principles. Disputes shall be resolved in the courts of that jurisdiction.

16. Changes to Terms

We may update these Terms from time to time. Continued use of the service after changes constitutes acceptance of the revised terms.
